The technology consulting group XPartners Samhällsbyggnad AB (“XPartners”) is expanding the group with a new company Rakennuttajatoimisto HTJ Holding OY (“HTJ”) on June 7, 2024, and with that step into the Finnish market. With this acquisition, XPartners will be expanded to more than 800 employees and will have a turnover of approximately SEK 1,3 billion. The deal strengthens the XPartners group both in terms of competence and resources, and the range of services is broadened within the Nordic region.

The business model is based on value creation through collaboration and entrepreneurship, where each company preserves its own identity, but benefits from the advantages that group membership provides. The owners of the companies that join become part-owners of XPartners together with the largest owner, which is the Nordic private equity company Axcel, and they continue the ongoing operational work of their own company under their own brand. Through our domain knowledge, digital understanding and commitment to sustainability, we will help make the Nordic region a leader in the environment, community building and infrastructure.

Olle Bertfelt, XPartners CEO, says: “We are very pleased to welcome HTJ to the XPartners family. I feel great pride in the collaboration platform we have quickly built, and in all the talented entrepreneurs who have joined us. That XPartners expands to Finland with the acquisition of HTJ, a competent company with services mainly in project management, is completely in line with our long-term strategy to become a significant consulting player in the entire Nordic region. The acquisition of HTJ is a good platform for continued growth in the Finnish market. Together, we can accelerate and develop solutions that both customers, industry and society need, while at the same time contributing to long-term development for our employees”

Janne Ketola, CEO HTJ, tells “This merger is a step towards a long-term vision to strengthen HTJ’s position in the market and also create new opportunities for growth and innovation. It is with great joy and enthusiasm that we look forward to becoming part of the XPartners group, and to working together towards common goals. By becoming part of the XPartners group, we strengthen our opportunity for both organic and acquisition-driven expansion in Finland. Hugo Tullberg Wengholm new Head of M&A for XPartners Samhällsbyggnad AB

Hugo Tullberg Wengholm has been appointed as the new Head of M& A for Xpartners Samhällsbyggnad AB. Hugo has previously held several leading positions within M& A and business development, and has good experience in leading and implementing acquisitions through the entire M& A process. He most recently came from a role as CSO Strategy Manager with responsibility for M& A and business development group management at Layer Group AB, and before that for several years in leading roles within M& A at the listed Coor Service Management.

– I am really looking forward to becoming part of Xpartners and to working together with the entrepreneurs in the companies, the central team, and the owners, to contribute to the entire group’s development and expansion. I really like the decentralized model in Xpartners, where the entrepreneurs who sell their companies become co-owners – it’s a good basis for finding positive cooperation effects from being in the same boat. Retaining well-established brands after the acquisitions is also something that is close to my heart because I have seen how important it can be in a local market, says Hugo

Hugo will take up the new position as Head of M& A for Xpartners in August 2024. With Hugo’s experience as an M& A advisor and M& A manager in several companies with strong growth, he knows what is required to create the conditions and opportunities for Xpartners to grow at a rapid pace of acquisition and to expand.

– Hugo has a background that shows a high drive and a strong business focus and experience in identifying and acquiring the type of profitable small and medium-sized companies of high quality that fit into Xpartner’s platform. He will be an important addition to Xpartner’s management with exactly the experience we need in the expansive phase we are in, says Olle Bertfelt, CEO of Xpartners.

Hugo has been active in M& A and expansion for most of his career and has held both operational and strategic roles over the past 10+ years. During his professional activities, Hugo has been involved in building up new businesses across the Nordic region and completed a large number of acquisitions, integrations and sales processes of companies.

– This assignment should be a lot of fun, and I feel both curious and humbled to get to know the entrepreneurs in the group and to take part in the great knowledge that the various companies possess. My task will be to lead the acquisition work together with the team and continue the fine expansion with several acquisitions of the best companies in the industry. The focus will simply be to look for and court profitable and sustainable companies with good leadership and a desire to develop – when you find it, it’s a fantastic combination, says Hugo and continues:

– It’s a very fun opportunity to be part of Xpartner’s journey right after a professional owner like Axcel stepped in as a new main investor. I have seen from afar how Xpartners has already made several acquisitions of attractive companies and my focus will be to continue the strong expansion and support the group’s continued development.

Three new companies join XPartners – we welcome Infra Action, MSIB and VIZ architects

The technology consulting group XPartners Samhällsbyggnad AB (“XPartners”) expanded the group with three new companies on April 27, 2023, and with this expansion will be represented throughout Sweden, from north to south, with approximately 400 employees. With this deal, we strengthen the XPartners group both in terms of competence and resources, and our range of services is broadened within infrastructure and electrical planning. The group will have a turnover of approx. SEK 600m and all companies work actively with sustainability, which will further strengthen XPartners as a group in the area.

Since the spring of 2021, the XPartners group has worked to create a nationwide multidisciplinary community building platform where different companies, skills, people and cultures collaborate for higher exchange in their work with the transition to a more sustainable society. The business model is based on value creation through collaboration and entrepreneurship, where each company preserves its own identity, but benefits from the advantages that group affiliation provides. The owners of the joining companies become part-owners in XPartners together with the Nordic private equity company Axcel (which takes over as a new main owner in XPartners in connection with the transactions, together with former main owner Evolver), and continue the ongoing operational work in their own companies during their own brands. Through our domain knowledge, digital understanding and commitment to sustainability, we will help make Sweden a leading country in the environment, social construction and infrastructure.

Olle Bertfelt, XPartners CEO, says: “It is with pleasure that we welcome Infra Action, MSIB and Viz architects to the XPartners family. I feel proud of the collaborative platform we built in a short time together with Evolver and all talented entrepreneurs. It has been especially fun to see the interaction between the companies spontaneously develop and lead to more and better business. With these three new companies in the group, we continue to expand geographically and disciplinaryly, which is completely in line with the XPartners group’s long-term strategy to become a significant consulting player with a strong sustainability focus. Together, we can accelerate and develop what both customers, industry and society need, and also contribute to long-term development for our employees.”

Peter Lindstrom, Partner at Evolver, says: “Evolver’s vision is that every company we get involved in should reach its true potential. When XPartners is now structurally and volume-wise entering a new phase of its growth journey, the time is right to also adapt the ownership structure and give the company optimal conditions for the future. We are therefore very happy to switch over the main ownership to Axcel and continue our involvement from a minority position.”
